Article 1 (Application)
These Terms shall apply to all relationships between Users and the Company regarding the use of this Service. The Company may establish various rules (hereinafter referred to as 'Individual Provisions') for the use of this Service in addition to these Terms. These Individual Provisions, regardless of their titles, shall constitute a part of these Terms. In the event of a conflict between the provisions of these Terms and the Individual Provisions, the Individual Provisions shall take precedence unless otherwise specified in the Individual Provisions.
Article 2 (User Registration)
Registration for this Service shall be completed when a prospective registrant agrees to these Terms and applies for registration using the method prescribed by the Company, and the Company approves such application. The Company may not approve an application for registration if it determines that the applicant has any of the following reasons, and shall not be obligated to disclose the reasons: (1) False information was provided in the registration application; (2) The application is from a person who has violated these Terms; (3) The Company otherwise deems the registration inappropriate.
Article 3 (Management of User ID and Password)
Users shall properly manage their User ID and Password for this Service at their own responsibility. Users may not transfer, lend, or share their User ID and Password with any third party under any circumstances. The Company shall deem that login with a matching combination of User ID and Password is use by the User who registered that User ID. The Company shall not be liable for any damage caused by the use of User ID and Password by a third party, except in cases of intentional misconduct or gross negligence on the part of the Company.
Article 4 (Usage Fees and Payment Method)
Users shall pay the usage fees for the paid portion of this Service, which are separately determined by the Company and displayed on this Service, using the method specified by the Company. If a User is late in paying the usage fees, the User shall pay a late payment charge at an annual rate of 14.6%.
Article 5 (Prohibited Acts)
Users shall not engage in any of the following acts when using this Service: (1) Acts that violate laws or public order and morals; (2) Acts related to criminal acts; (3) Acts that infringe on the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of the Company, other Users, or third parties; (4) Acts that destroy or interfere with the functions of the Company's servers or networks; (5) Commercial use of information obtained through this Service; (6) Acts that may interfere with the operation of the Company's services; (7) Unauthorized access or attempts thereof; (8) Collection or accumulation of personal information about other Users; (9) Use of this Service for improper purposes; (10) Acts that cause disadvantage, damage, or discomfort to other Users or third parties; (11) Impersonating other Users; (12) Advertising, solicitation, or business activities on this Service without the Company's permission; (13) Acts that directly or indirectly provide benefits to antisocial forces in connection with the Company's services; (14) Other acts deemed inappropriate by the Company.
Article 6 (Suspension of Service)
The Company may suspend or interrupt the provision of all or part of this Service without prior notice to Users if it determines that any of the following reasons exist: (1) Maintenance or update of the computer system for this Service; (2) Difficulty in providing this Service due to force majeure such as earthquake, lightning, fire, power outage, or natural disaster; (3) Shutdown of computers or communication lines due to accidents; (4) Other cases where the Company determines that it is difficult to provide this Service. The Company shall not be liable for any disadvantage or damage suffered by Users or third parties due to the suspension or interruption of this Service.
Article 7 (Usage Restrictions and Registration Cancellation)
The Company may restrict all or part of the use of this Service or cancel the User's registration without prior notice if the User falls under any of the following: (1) Violation of any of the provisions of these Terms; (2) Discovery of false facts in the registered information; (3) Default on payment obligations such as fees; (4) No response to contact from the Company for a certain period; (5) No use of this Service for a certain period since the last use; (6) Other cases where the Company deems the use of this Service inappropriate. The Company shall not be liable for any damage caused to Users by actions taken by the Company based on this Article.
Article 8 (Withdrawal)
Users may withdraw from this Service through the withdrawal procedure prescribed by the Company.
Article 9 (Disclaimer of Warranty and Limitation of Liability)
The Company does not warrant, either expressly or impliedly, that this Service is free from defects in fact or law (including defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors, bugs, infringement of rights, etc.). The Company shall not be liable for any damage arising from this Service to Users. However, this disclaimer shall not apply if the contract between the Company and the User regarding this Service (including these Terms) constitutes a consumer contract as defined in the Consumer Contract Act. The Company shall not be liable for any transactions, communications, or disputes between Users and other Users or third parties regarding this Service.
Article 10 (Changes to Service Content)
The Company may change the content of this Service or discontinue the provision of this Service without notice to Users, and shall not be liable for any damage caused to Users thereby.
Article 11 (Changes to Terms of Use)
The Company may change these Terms at any time without notice to Users if it deems necessary. If a User starts using this Service after the change of these Terms, such User shall be deemed to have agreed to the changed Terms.
Article 12 (Handling of Personal Information)
The Company shall appropriately handle personal information obtained through the use of this Service in accordance with the Company's Privacy Policy.
Article 13 (Notice or Communication)
Notices or communications between Users and the Company shall be made by the method prescribed by the Company. The Company shall deem the currently registered contact information as valid and send notices or communications to such contact information unless the User submits a change notification in the manner separately prescribed by the Company, and such notices or communications shall be deemed to have reached the User at the time of dispatch.
Article 14 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or pledge their contractual status or rights or obligations under these Terms to a third party without the prior written consent of the Company.
Article 15 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with this Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company's head office.
